Misys plc: Notes Allscripts and Eclipsys announce special shareholders meetings

Misys plc (FTSE: MSY.L) the global applications software and services company, notes the announcements made yesterday by its subsidiary Allscripts-Misys Healthcare Solutions, Inc (NASDAQ: MDRX) (“Allscripts”), in which Misys has a 55% stake, and by Eclipsys Corporation (NASDAQ: ECLP) (“Eclipsys”), regarding the proposed merger of Allscripts and Eclipsys that was originally announced by Misys on 9 June 2010.

Allscripts announced that a special shareholders’ meeting will be held on August 13 2010 at which Allscripts shareholders as at July 13 2010 will be entitled to vote upon the proposal to issue Allscripts shares to Eclipsys shareholders in order to effect the merger of Allscripts and Eclipsys.
 

Eclipsys announced a special shareholders’ meeting for Eclipsys shareholders as at July 13 to vote on the merger, also to be held on August 13 2010.

These announcements represent an important step towards the completion of the merger between Allscripts and Eclipsys.
